Understanding your rights and responsibilities.

These terms outline the obligations of ITAIMS Technologies and the organisations we partner with. Please read them carefully before engaging with our services or using our website.

1. Agreement overview

By accessing our website or entering into a services agreement with ITAIMS Technologies, you agree to these terms as well as any applicable statements of work, proposals, or order forms.

2. Services

The scope, deliverables, responsibilities, and timelines of our services are defined in mutually signed statements of work. Changes to scope require written approval from both parties.

3. Fees and payment

Unless otherwise noted, invoices are due within 30 days. Late payments may incur finance charges. Taxes, duties, and third-party costs are the client's responsibility unless agreed otherwise.

4. Confidentiality

Both parties agree to protect confidential information disclosed during the engagement and to use such information solely for the purposes described in the agreement.

5. Intellectual property

Unless stated differently in a statement of work, clients own deliverables created specifically for them. ITAIMS retains ownership of pre-existing materials, accelerators, and methodologies.

6. Warranties and disclaimers

We warrant that services will be delivered professionally and in accordance with industry standards. Except as expressly stated, we disclaim other warranties, including implied warranties of merchantability and fitness for a particular purpose.

7. Limitation of liability

Neither party is liable for indirect, incidental, or consequential damages. Aggregate liability is limited to the fees paid for the services giving rise to the claim.

8. Termination

Either party may terminate the agreement with written notice for material breach (subject to cure periods) or for convenience as defined in the statement of work. Upon termination, outstanding fees remain payable.

9. Governing law

These terms are governed by the laws of the State of New York, USA, without regard to conflict-of-law principles. Disputes will be resolved in the state or federal courts located in New York County.

10. Updates to these terms

We may update these terms periodically. Changes will be posted on this page with an updated effective date. Continued use of our services constitutes acceptance of the revised terms.
